General Terms and Conditions of W2G Academy GmbH


Preamble

W2G Academy GmbH (hereinafter "W2G ACADEMY") operates the Carpe Diem Studienkolleg Aachen (hereinafter "Studienkolleg"), which offers core courses to prepare students for the university entrance assessment exam (Feststellungsprüfung) as well as German language courses to prepare participants (hereinafter "Course Participants") for German language exams under the purposes and conditions outlined in the following provisions.

The following contractual conditions apply to the legal relationship between Course Participants and W2G ACADEMY:


§1 General Provisions

These General Terms and Conditions govern the contractual relationship between W2G ACADEMY and Course Participants. The version valid at the time the contract is concluded is binding.

W2G ACADEMY is entitled to amend and/or supplement these Terms and Conditions with appropriate notice. Changes will be communicated to Course Participants via the email address provided at registration. If the participants do not object within four weeks of receiving the email, the new Terms and Conditions will become effective. If they object in time, the changes will not apply to them. Individual agreements always take precedence over these general conditions (§305b BGB).


 §2 Contract Formation

Registration is only possible for the offered courses and constitutes a binding offer by the Course Participant (or third party representing them) to enter into a training contract.

The contract becomes effective once W2G ACADEMY has received full payment of the tuition fee and issued the confirmation of admission. Issuance of this confirmation constitutes acceptance of the offer.

Silence by W2G ACADEMY does not constitute acceptance. If no admission confirmation is issued within five working days, the offer is deemed rejected.


§2a Special Provisions for Registrations via Partners

Via Partners: Registrations can be made through authorized cooperation partners (hereinafter “Partners”) acting as intermediaries.

Contractual Relationship: In such cases, the contract is between the Partner and W2G ACADEMY. There is no direct contract between the Course Participant and W2G ACADEMY.

Payments: Course fees must be paid to the Partner, who is responsible for collecting payments. Refund claims must be directed to the Partner.

Partner’s Responsibility: Partners must inform participants of the applicable Terms and Conditions and course information.

No Liability by W2G ACADEMY: W2G ACADEMY is not liable for any actions or omissions by the Partner.


§3 Subject of the Contract

German Language Courses: Courses are designed to prepare participants for language exams aligned with the Common European Framework of Reference for Languages.

Core Courses: Focus courses prepare students for the external university entrance exam (Feststellungsprüfung) administered by the Cologne District Government.

Examinations: W2G ACADEMY does not guarantee success in exams.

Course Structure: No entitlement exists to specific teachers, locations, or formats. W2G ACADEMY decides all such matters, considering participants’ justified interests.

Booking A1-B1: The A1-B1 course must be booked and completed as one unit. Individual levels cannot be booked separately. Early termination or level changes require written approval.


§4 Course Times and Location

Classes are usually held Monday to Friday. Adjustments may be made depending on the week or teacher availability. Participants will be informed in good time by email.

Classes take place at Theaterstraße 24, 52062 Aachen or online. Only W2G ACADEMY decides the delivery format unless an online course is explicitly booked.


§5 Obligations of W2G ACADEMY

W2G ACADEMY is obligated to:

Follow the curriculum,

Provide substitute teachers if needed,

Teach necessary knowledge,

Employ qualified teachers,

Provide adequate facilities.

Note: Individual learning success is not guaranteed.


§6 Minimum Participants

Language Courses: Minimum of 6 participants. If fewer than 6, the course may be adjusted or postponed. Units may vary between 24–100 per month depending on size and level.

Core Courses: Minimum of 10 participants. If this is not met, the course may be postponed by one semester free of charge.


§7 Participant Obligations

Full and timely payment of tuition per §8.

Regular attendance and effort toward learning goals.

Participation in assessments if required.

Compliance with instructor directions (within legal bounds).

Verification of school certificates by official recognition agencies.

Compliance with the House Rules, which are part of these Terms. Violations may result in sanctions, up to expulsion.

Rule changes will be communicated; continued attendance signifies acceptance.


§8 Tuition Fees

Fees are due upon receipt of invoice.

Payment must be made within 14 days for admission documents to be issued.

Payment must be made in EUR to the specified bank account.

Failure to pay on time results in the offer expiring and possible cancellation.

Installments may be granted in exceptional cases with W2G ACADEMY approval.

Installments incur admin fees.

Non-compliance leads to reminders and potential contract cancellation.


§9 Course Cancellation / Termination

Courses consist of two inseparable semesters.

During Withdrawal Period: See §12. Partial payment for used services may apply.

Written Notice Required for cancellation. Supporting documents may be requested.

Cancellation Fees:

8 weeks before start: 20% (min. €500)

4–8 weeks before start: 50%

<4 weeks before start: 75%

After start: No refund

No refunds after course start due to administrative burden.

Rescheduling:

Must be requested ≥4 weeks in advance.

First reschedule free, others cost €45 (language course) or €150 (core course).

No-Show: Course spot remains reserved. No refund.

Visa Denials:

If the correct student visa was applied for and denied, a refund is possible minus:

€495 (core course)

€100 per level (language course)

Used services will be deducted.

W2G ACADEMY may file an appeal (remonstration) on participant’s behalf with consent.

Limitations: Refunds only apply in case of visa denial for study-preparation purposes. Other reasons do not qualify.

Notification to Authorities: W2G ACADEMY may notify the embassy or immigration authorities in case of cancellation. Participants agree to this.


§9a Special Rules for Partner-Enrolled Participants

Cancellation and withdrawal are subject to the Partner's terms. W2G ACADEMY is not responsible.

Refund claims must be made to the Partner.

By enrolling through a Partner, participants assign any refund claims to the Partner and waive direct claims against W2G ACADEMY.


§10 Extraordinary Termination

Both parties may terminate the contract for cause. Valid reasons include:

Proven or suspected violation of German law.

Serious unethical behavior (e.g. offensive, racist, extremist conduct).

Absence >30%. Late arrival counts as a full missed 45-minute unit.

Violation of obligations under §7.

Missed installment deadlines despite reminders.

No refunds in such cases. A written warning may be given beforehand.


§11 Data Protection

Participants are informed about:

What personal data is collected, how it’s used, and for how long.

Their right to access, correct, block, or delete personal data.

Data Collection:

Only access data (browser type, time, etc.) is stored for statistics if no personal info is provided.

Personal data is collected only during registration and used strictly for contract processing.

After the contract ends, data is blocked or deleted per legal requirements.

Cookies:

Website uses session and permanent cookies.

Users can adjust browser settings to control cookie behavior.

Data Sharing:

Personal data may be shared with logistics and payment partners strictly for service purposes.

§12 Right of Withdrawal

Right to Withdraw:

Participants may cancel within 14 days of contract conclusion.

Consequences:

W2G ACADEMY will refund all payments within 14 days after receiving notice.

If services began during the withdrawal period, a proportional fee for services rendered and the registration fee will be charged.

The right of withdrawal expires once services are fully rendered.


§13 Dispute Resolution

The EU offers an online platform for dispute resolution:

W2G ACADEMY is neither obligated nor willing to participate in dispute settlement procedures with a consumer arbitration board.


§14 Severability Clause

German law applies. For consumers, this applies only if it doesn't conflict with their national consumer protection rights. UN commercial law does not apply.

If any provision is or becomes invalid, the rest of the contract remains effective. Invalid clauses will be replaced with valid ones reflecting the intended purpose.
